1. Acceptance of Terms

By accessing or using the website, platform, and services provided by Wardengrove ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using our services.

2. Description of Service

Wardengrove provides automated and manual content protection services. We monitor the internet for unauthorized reproductions, leaks, and distributions of your exclusive content, and file legally compliant DMCA takedown notices, search engine de-indexing requests, and platform reports on your behalf.

By subscribing to our service, you appoint Wardengrove as your authorized legal agent for the sole purpose of identifying infringing content and submitting copyright takedown notices. Wardengrove is a technical protection service and is not a law firm, nor does it provide legal advice.

3. Eligibility

To use our services, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. You must be the sole copyright owner or the fully authorized legal representative of the content submitted to our platform.

Submitting false copyright ownership claims or requesting takedowns for content you do not own is strictly prohibited. Doing so may result in the immediate termination of your account and may expose you to severe legal liability and damages under the DMCA and applicable international laws.

4. Account Registration

To access our creator portal, you must register for an account. You agree to provide accurate, current, and complete information during the registration and onboarding process. You are solely responsible for safeguarding your login credentials and for all activities that occur under your account. You may not share your account with third parties, and each creator or entity is limited to one active account.

5. Subscription Plans & Billing

We offer Starter, Growth, and Enterprise protection tiers. By selecting a plan, you agree to pay the monthly subscription fee associated with that tier.

• Billing: All payments are processed securely via Stripe. Subscriptions are billed in advance on a recurring monthly basis.
• Auto-Renewal: Your subscription will automatically renew each month unless you cancel it before your next billing date.
• Cancellation: You can cancel your subscription at any time through your billing dashboard. Cancellation will take effect at the end of your current billing period, and your protection will remain active until then.
• Refunds: We do not offer partial refunds or credits for unused time within a billing cycle.

6. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You are strictly prohibited from:

• Submitting content, handles, or URLs that you do not own or have the legal right to represent.
• Filing fraudulent, bad-faith, or retaliatory takedown requests.
• Using the service to harass, wrongfully target, or cause financial harm to third parties.
• Attempting to reverse-engineer, disrupt, or bypass the security of our automated crawlers and platform.

7. No Guarantee of Results

While Wardengrove uses commercially reasonable efforts and advanced proprietary technology to detect and remove infringing content, we cannot guarantee complete removal or prevention of future re-uploads.

Takedown speeds and success rates depend heavily on the compliance of third-party hosting providers, domain registrars, and search engines. Wardengrove is not responsible for the failure of any third-party platform to comply with legally submitted DMCA notices.

8. Intermediary & Legal Disclaimer

Wardengrove acts solely as an authorized intermediary agent for filing copyright takedown notices. We do not provide legal representation, legal advice, or formal legal counsel. Using our service does not establish an attorney-client relationship. If you require formal legal advice or representation in a court of law, you should consult a licensed attorney.

9. Limitation of Liability

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Wardengrove, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or revenue.

In no event shall Wardengrove's total liability for any claim arising out of or relating to these Terms exceed the total amount paid by you to Wardengrove for the services in the three (3) months preceding the event giving rise to liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wardengrove, its affiliates, and its staff from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your false copyright ownership claims, misuse of the service, or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your account and access to our services immediately, without prior notice or liability, if you violate these Terms, engage in fraudulent or bad-faith takedown requests, or fail to pay your subscription fees. You may terminate your account at any time by canceling your subscription via the creator portal.

12. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Rotterdam, Netherlands.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of any changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of our services after any modifications constitute your acceptance of the new Terms.
